Shadow Gear Game Day Drop Sweepstakes - Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. OPEN ONLY TO LEGAL RESIDENTS OF CALIFORNIA WHO ARE 18 YEARS OF AGE OR OLDER. VOID WHERE PROHIBITED.

1. Sponsor

Shadow Gear USA, Inc., 1620 S. Los Angeles St., Los Angeles, CA 90015 ("Sponsor"). This promotion is sponsored and administered solely by Sponsor. It is not sponsored, endorsed or administered by, or associated with, the University of Southern California, USC Athletics, The Ohio State University, Instagram, Facebook, Meta Platforms, Inc. or TikTok. By entering, you release these parties from any liability related to this promotion.

2. Eligibility

Open only to legal residents of the State of California who are 18 years of age or older at the time of entry. Employees, officers and directors of Sponsor, and members of their immediate families (spouse, parents, siblings and children) and households, are not eligible. Employees of the University of Southern California Athletics department and Sponsor's athlete partners are not eligible.

3. Promotion Period

The Game Day Drop Sweepstakes (the "Promotion") begins at 11:00:00 a.m. Pacific Time ("PT") on October 20, 2026 and ends at 7:59:59 p.m. PT on October 29, 2026 (the "Promotion Period"). Sponsor's clock is the official timekeeper.

4. How to Enter

There are two ways to enter. Both methods receive the same entry and the same chances of winning.

(a) Free Entry (no purchase): Visit shadowgearusa.com/pages/game-day-drop during the Promotion Period and complete the entry form with your first and last name, email address and ZIP code, confirm that you meet the eligibility requirements and agree to these Official Rules. A mobile phone number is optional. By submitting the free entry form, you agree to receive marketing emails from Sponsor; you may unsubscribe at any time using the link in any email, and unsubscribing will not affect your entry. Text messages are sent only if you separately opt in, as described in Section 11.

(b) Purchase Entry: Any eligible person who places an order on shadowgearusa.com during the Promotion Period is automatically entered using the name and email address on the order. Orders placed on Amazon or any other marketplace or retailer are not automatically entered; those customers may enter using the Free Entry method.

Limit: One (1) entry per person for the entire Promotion, regardless of entry method or number of orders. Duplicate entries from the same person are combined into one entry. Entries generated by script, macro, bot or other automated means are void. Each entry remains eligible for every drawing held after it is received until that entrant wins a prize.

5. Drawings

Sponsor will conduct random drawings each day at or about 8:00 p.m. PT from October 20, 2026 through October 29, 2026. Each drawing will be selected at random from all eligible entries received as of 7:59:59 p.m. PT on the day of that drawing, excluding entrants who have already won. One (1) potential winner and up to two (2) alternates will be selected in each drawing, except as stated below. If no eligible entries have been received as of a drawing, that drawing's prize will be added to the next drawing. Because no eligible entries were received as of the October 20, 2026 drawing, two (2) potential winners and up to two (2) alternates will be selected in the October 21, 2026 drawing. Random selection is made by Sponsor using a random number generator, and Sponsor's decisions are final.

6. Prizes

Ten (10) prizes, awarded as described in Section 5. Each prize consists of two (2) tickets to the USC vs. Ohio State college football game on Saturday, October 31, 2026 at the Los Angeles Memorial Coliseum in Los Angeles, California. Approximate retail value ("ARV") of each prize: $500. Total ARV of all prizes: $5,000. Seat locations are determined by Sponsor. Prize does not include transportation, parking, lodging, food, beverages or any other expenses, which are the winner's responsibility. Tickets are delivered by digital transfer and the winner must have, or create, a free mobile ticketing account to accept them. Tickets are subject to all terms and conditions of the issuer and the venue. Game date and kickoff time are set by third parties and may change; Sponsor is not responsible for any change, delay, postponement or cancellation, and if the game is postponed the tickets will be honored as the issuer allows. No cash or other substitution except that Sponsor may substitute a prize of equal or greater value if a prize becomes unavailable. Prizes are not transferable before they are awarded. Limit one (1) prize per person and per household. If any prize remains unawarded after the final drawing because there are not enough eligible entries, that prize will not be awarded.

7. Winner Notification and Claim

Each potential winner will be notified by email (and by text message if a mobile number was provided) within approximately two (2) hours of the drawing. To claim, the potential winner must reply by the deadline stated in the notice confirming that he or she meets the eligibility requirements and providing the email address for the ticket transfer. The claim deadline is 24 hours after notice, except for the October 29, 2026 drawing, where the deadline is 12:00 p.m. PT on October 30, 2026. If a potential winner does not respond in time, is found ineligible, or cannot accept the prize, the prize will be forfeited and awarded to an alternate. Sponsor may require proof of age and California residency. Sponsor will transfer tickets to each verified winner no later than October 30, 2026.

8. Odds

Odds of winning depend on the number of eligible entries received.

9. Taxes

Each winner is responsible for any taxes on the prize.

10. Publicity

Except where prohibited, each winner agrees that Sponsor may announce his or her first name, last initial and city on Sponsor's website and social media without further compensation.

11. Privacy and Communications

Information collected is used to administer this Promotion and is subject to Sponsor's Privacy Policy at shadowgearusa.com/pages/privacy-policy. Free Entry participants receive Sponsor's marketing emails as stated in Section 4(a). Sponsor will send recurring automated marketing text messages only to entrants who check the optional text-message consent box; consent to receive texts is not required to enter or win. Message and data rates may apply. Message frequency varies. Reply STOP to cancel or HELP for help.

12. General Conditions

By entering, entrants agree to these Official Rules and Sponsor's decisions. Sponsor is not responsible for lost, late, incomplete, misdirected or garbled entries, or for technical failures of any kind. Sponsor may disqualify anyone who tampers with the entry process or violates these Official Rules. If the Promotion cannot run as planned for any reason beyond Sponsor's control, Sponsor may cancel, modify or suspend it and award prizes by random drawing from eligible entries received before that action. To the extent permitted by law, by participating, entrants release Sponsor and the parties listed in Section 1 from any liability arising from participation or from acceptance or use of a prize.

13. Governing Law

This Promotion is governed by the laws of the State of California. Any dispute will be resolved individually, without resort to any class action, in the state or federal courts located in Los Angeles County, California.
